SEEKING HEALTH, LLC UNITED STATES ONLINE PAID SEARCH POLICY Effective: June 15, 2024 I. Purpose of the Policy Seeking Health, LLC (“Seeking Health”) has adopted the following unilateral Online Paid Search Policy (“Policy”), which applies to all authorized sellers of Seeking Health products (the “Products”) in the United States (“Sellers”). Seeking Health has implemented this Policy to protect trademarks associated with the Seeking Health brand and to ensure an optimal online consumer experience by encouraging accurate, complete, and consistent messaging regarding Products and the Seeking Health brand to the target consumer populations. This Policy and its associated consequences are entirely separate and independent from our U.S. Authorized Reseller Program documents and our Seeking Health, LLC United States Minimum Advertised Price Policy. II. This Policy Is Not an Agreement This Policy has been adopted unilaterally by Seeking Health and is not an agreement or offer to form an agreement between Seeking Health and any other entity. Seeking Health does not seek and will not accept any promise of compliance with this Policy from any Seller or other party, and each Seller must independently choose whether to comply with this Policy. This Policy is not negotiable and will not be altered for any individual Seller. III. What Constitutes a Violation of This Policy It is a violation of this Policy to bid on or pay for online advertisements or paid search terms which contain the keywords set forth at https://www.seekinghealth.com/pages/paid-search-policy-prohibited-keywords (“Prohibited Keywords”), including through keyword bidding or pay-per-click advertising. Paid search terms are search terms that sellers pay digital advertising platforms (e.g., Amazon, Google, Bing) to display advertisements in response to an end user consumer’s search for those term(s). Paid search terms include both text ads (where specific keywords are bid on) and product listing ads (where ads are served in association with keywords the search engine’s algorithms deem relevant to an end user customer’s search query). This restriction applies only to the Prohibited Keywords and prohibits a Seller from bidding on those terms in both stand-alone and long-tail keyword forms. This restriction is only meant to cover the Prohibited Keywords for purposes of ensuring accurate messaging and an optimal consumer experience; it is not meant to, and does not restrict, a Seller’s ability to otherwise engage in advertisements of our Products. IV. Non-Compliance with This Policy Seeking Health will take the following actions against any Seller that does not comply with this Policy: First Violation: For a Seller’s first violation of the Policy, Seeking Health will notify the Seller in writing of such failure to abide by the Policy and issue a written warning to the Seller. Second Violation: For a Seller’s second violation of the Policy, Seeking Health will notify the Seller in writing of such failure and will immediately place the Seller’s account on shipping hold for thirty (30) days. Seeking Health will revoke its acceptance of any pending orders, cancel any pending shipments to the Seller, and not accept any new orders from Seller during this 30-day period. Third Violation: For a Seller’s third violation of the Policy, Seeking Health will terminate its business relationship with the Seller. Seeking Health will enforce this Policy in our sole discretion and with notice. Sellers have no right to enforce this Policy. V. Policy Administration Seeking Health may update, revise, suspend, terminate, reinstitute, or modify this Policy at any time in its sole discretion. Seeking Health shall make any such modifications available to all Sellers. No Seeking Health employee or agent, including a Seller’s sales representative, is authorized to modify, interpret, or grant exceptions to this Policy; solicit or obtain the agreement of any person to this Policy; or otherwise discuss any aspect of this Policy with any Seller, including that Seller’s or any other Seller’s compliance with the terms of the Policy. Any questions about this Policy should be submitted in writing and directed to Seeking Health’s Online Paid Search Policy Administrator at [email protected]. Seeking Health will accept no other form of communication from Sellers regarding this Policy. This Policy supersedes all prior Seeking Health policies and/or representations regarding restrictions on paid search terms for Seeking Health Products applicable to any Seller. To the extent that any provision, term, or agreement governing the relationship between Seeking Health and any Seller may be construed in a manner that is inconsistent with the terms of this Policy, the terms of this Policy control.
